Corporate Governance and Fiduciary Responsibilities
The firm's corporate practice advises our corporate clients and their officers and directors on corporate governeance and fiduciary duties. This includes the drafing and implementation of compliance and governance documentation, reviewing directors' and officers' insurance liablity coverage, scope of director and office authority, the standards of care applicable to the consideration of corporate transactions and consent required to approve such transactions, and indemnification of officers and directors.
Executive Employment and Severance
Our practice represents employers and executives in the negotiation of employment agreements, non-compeitition agreements, confidentiality agreements and serverence agreements. Mr. Gleit has experience defining an executive's compensation package (salary, bonus, eqity compensation, etc.), benefits, job duties, reporting structure and post-termination of employment restrictive convenants. We are also experienced in drafting and reviewing stock option plans and nonqualified deferred compensation plans for executives. In respect to the severance of employment, the practice assists both employers and executives in the negotiation of serverance terms and stock buy-outs.
Shareholders' Operating and Partnership Agreements
Our corporate practice represents individuals and entities in the drafting, reviewing, and negotation of shareholders' agreements, limited liablility company operating agreements, and partnership agreements. These agreements address buy/sell rights and obligations, transfer of stock and ownership interests, management dutites and authority, voting rights, and restictions on competing activities by owners and management. Our expertise in drafting these agreeements to effect succession planning objectives in closely-held and family-owned businesses.
